Question: My company is a limited company with foreign investment. Now my company wants to add one more business line. So what are the procedures and records included? Please guide me. Thanks.
Reply:
- For foreign-invested enterprises, request enterprises when registering their business lines to refer to the trades specified in the Schedule of Specific Commitments on Service Trade signed between Vietnam and the World Trade Organization (WTO).
- Dossiers, order and procedures for changing business lines and trades comply with Article 49 of Decree No. 78/2015 / ND-CP on enterprise registration "In case of addition/change of business lines, the enterprise shall send a notification to Business Registration Office where it was registered. The notification shall contain:
a) Name, enterprise ID number, TIN, or number of certificate of business registration (in case the enterprise has not had a enterprise ID number or TIN);
b) The new or changed business lines;
c) Full name and signature of the legal representative of the enterprise.
The notification must be enclosed with the decision and legitimate copy of the minutes of meeting of the Board of members (if the enterprise is a multi-member limited liability company), the General Meeting of Shareholders (if the enterprise is a joint-stock company), general partners (if the enterprise is a partnership), or decision of the company’s owner (if the enterprise is a single-member limited liability company) on addition/change of business lines. The decision and minutes of meeting must specify the changes in the company’s charter."
- Enterprises submit an online application (online) at the National Business Registration Portal at www.dangkykinhdoanh.gov.vn/ Public services / Online
