Dossiers of registration for dissolution are specified in Articles 202 and 204 of the 2014 Law on Enterprises; Article 59 of the Government's Decree No. 78/2015 / ND-CP dated September 14, 2015 on enterprise registration, including:
Step 1: Disclosure of dissolution information.
Composition profile: 1. Notice of dissolution of the enterprise; 2. Decision on dissolution of the enterprise; 3. Debt settlement plan (if any);
Step 2: Registration for dissolution
Composition profile: 1. Notice of dissolution of the enterprise; 2. Report on liquidation of corporate assets; 3. List of creditors and amount of debt paid, including all tax and social insurance payments (if any); 4. List of employees after deciding to dissolve the enterprise (if any); 5. Seal and seal certificate (if any); 6. Certificate of business registration;
Note:
- For the enterprise that uses the seal issued by the police , the enterprise is responsible for returning the seal, the Certificate of seal sample registration to the police for a certificate of seal revocation. In this case, the seal and the seal sample certificate in the enterprise dissolution dossier are replaced by a certificate of seal revocation.
